Если кто-либо выдвигает предложение, условия которого отличаются от ранее сделанного ему предложения и, таким образом, отклоняет это первоначальное предложение, то он фактически делает контрпредложение. Объявление о готовности принять предложение, но с изменениями и дополнительными условиями является контрпредложением (counteroffer)
